Terms of Service

These Terms of Service (the "Terms") are a binding agreement between you and RealtyListPro, LLC ("RealtyListPro," "we," "us," or "our") that governs your access to and use of the RealtyListPro mobile application, the RealtyListPro Studio web application, and any related websites and services we operate (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service
RealtyListPro provides a platform for real estate professionals to book on-demand real estate photography and related media services. The Service includes:
A mobile application for real estate clients ("Clients") to book photography sessions, schedule shoots, communicate with assigned photographers, review delivered media, and complete payment;
A web application ("Studio") used by RealtyListPro staff ("Owners") and contracted or employed photographers ("Photographers") to manage bookings, deliver media, and administer the Service.
References in these Terms to "you" and "your" mean the individual or business entity using the Service. References to "Users" mean Clients, Photographers, and Owners collectively.

2. Eligibility
To use the Service, you must:
Be at least 18 years of age;
Be a resident of the United States;
Have the legal capacity to enter into binding contracts;
Not be barred from using the Service under the laws of any applicable jurisdiction; and
If acting on behalf of a brokerage, business, or other entity, have the authority to bind that entity to these Terms.
The Service is not available to residents of the European Union, the United Kingdom, or any jurisdiction subject to comprehensive data protection regulation such as the GDPR. By using the Service you represent that you do not reside in such a jurisdiction.

3. Account Registration
To use most features of the Service, you must create an account. When you register, you agree to:
Provide accurate, current, and complete information;
Keep your account information updated;
Keep your password and login credentials confidential and not share them with any third party;
Not impersonate any person or entity, or misrepresent your affiliation;
Maintain only one account per person.
You are responsible for all activity that occurs under your account. Notify us promptly at support@realtylistpro.com if you become aware of unauthorized access to your account.

4. Booking and Service Performance
4.1 Booking a Session
When you (as a Client) book a photography session through the Service, you select a property address, a service package, optional add-ons, a date, and a time window. Submitting the booking constitutes an offer to purchase the selected services at the price displayed at the time of submission.
We will assign a Photographer to your booking based on coverage area, availability, and other operational factors. Photographer assignment is at our sole discretion.
4.2 Property Access and Authorization
By submitting a booking, you represent and warrant that you have the legal right to authorize photography at the property address. This includes being the owner, a listing agent with explicit authorization from the owner, or another party with sufficient authority. RealtyListPro and its Photographers are not responsible for verifying your authorization, and you indemnify us against any claims arising from a lack of authority.
4.3 Cancellations and Rescheduling
Free cancellation: You may cancel or reschedule a booking at no charge if you do so more than 24 hours before the scheduled session start time.
Late cancellation: Cancellations made less than 24 hours before the scheduled start time may incur a fee of up to 50% of the booked total. This fee compensates the assigned Photographer for the lost time slot.
No-show: If the Photographer arrives at the scheduled time and is unable to access the property after a reasonable wait (typically 15 minutes), the booking is treated as a no-show and is non-refundable.
Cancellation by RealtyListPro: We reserve the right to cancel bookings for reasons including, without limitation, severe weather, Photographer unavailability, property safety concerns, or your violation of these Terms. If we cancel a booking, we will issue a full refund or, at your option, reschedule at no additional charge.
4.4 Service Performance
Photography is a professional service whose output depends on factors including weather, lighting, property condition, and access. We do not guarantee specific photographic results, mood, or composition outcomes. If you are dissatisfied with delivered media, please contact us within 7 days of delivery at support@realtylistpro.com — we will work in good faith to address reasonable concerns, which may include reshoot, partial refund, or other remedy at our discretion.

5. Payment Terms
5.1 Pricing
Prices for service packages and add-ons are displayed within the Service at the time of booking. We may change our prices at any time, but published prices will be honored for bookings already confirmed.
5.2 Payment Processing
All payments are processed by our third-party payment processor, Stripe. By submitting payment information, you agree to Stripe's terms of service and authorize Stripe to charge your selected payment method for the booked amount.
You authorize RealtyListPro to charge your payment method for:
The total booked amount on the date of the scheduled session, unless otherwise agreed;
Any applicable late-cancellation or no-show fees described in Section 4.3;
Any approved add-on services performed during the session.
5.3 Delivery and Final Payment
Photography deliverables (photographs, videos, virtual tours, and related media) may be presented in watermarked preview form before payment is completed. Full-resolution unwatermarked files will be released after the booked total has been paid in full.
5.4 Refunds
Refund requests will be considered case-by-case as described in Section 4. If a refund is issued, it will be processed to the original payment method and may take 5 to 10 business days to appear on your statement.
5.5 Taxes
You are responsible for any sales, use, or other taxes applicable to the services you purchase, except where required by law for RealtyListPro to collect such taxes directly. We will display applicable taxes at checkout when required.

6. Media Ownership and License
6.1 Copyright
Unless otherwise agreed in writing, all photographs, videos, virtual tours, floor plans, and other media produced by Photographers as part of a booking ("Media") are owned by RealtyListPro and/or the assigned Photographer. We retain copyright in all Media.
6.2 License Granted to Clients
Upon full payment for a booking, RealtyListPro grants you (the Client) a non-exclusive, royalty-free, worldwide license to use the delivered Media for the purpose of marketing and selling the specific property that was photographed. This license includes:
Use in real estate listing services (MLS), brokerage websites, and listing portals (e.g., Zillow, Realtor.com);
Use in printed marketing materials such as brochures and signage related to the property;
Use on the Client's professional social media accounts to promote the specific property.
The license does NOT include:
Use for properties other than the one photographed;
Sublicensing or transfer to third parties (other than as needed for listing services);
Use in advertisements promoting the Client's own brand or services (such as agent profile photos, "best of" portfolios, or general marketing) without separate written agreement;
Modification of Media in ways that misrepresent the property (e.g., removing legally-required disclosures, fraudulent staging);
Resale of the Media.
The license terminates if the Client violates these Terms or fails to pay any outstanding balance.
6.3 Portfolio and Marketing Use by RealtyListPro
You grant RealtyListPro and the assigned Photographer the right to use the Media in our own portfolios, marketing materials, social media, and website to promote our services, without further compensation, unless you opt out in writing at support@realtylistpro.com before delivery.

7. Acceptable Use
You agree not to:
Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
Use the Service to facilitate harassment, discrimination, fraud, or violation of another person's rights;
Submit false, misleading, or inaccurate information through the Service;
Attempt to gain unauthorized access to any account, system, or data within the Service;
Reverse engineer, decompile, scrape, or otherwise attempt to extract source code or non-public data from the Service;
Interfere with the operation of the Service, including by introducing malware, automated agents, or denial-of-service attacks;
Use the Service to compete with RealtyListPro or to build a competing service;
Resell or commercially redistribute access to the Service.
We may suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms or are likely to cause harm to other Users, RealtyListPro, or third parties.

8. Communications
By creating an account, you agree to receive transactional communications from us related to your account and bookings — including booking confirmations, scheduling updates, media delivery notifications, payment receipts, password reset and email verification messages, and security alerts. These communications are not marketing messages and you cannot opt out of receiving them while you have an active account.
We do not currently send marketing emails. If we begin sending marketing emails in the future, you will have the ability to unsubscribe from those communications.

9. Intellectual Property — The Service Itself
The Service, including all software, designs, text, graphics, logos, and trademarks displayed within it, is owned by RealtyListPro or its licensors and is protected by United States and international intellectual property laws.
These Terms do not grant you any right, title, or interest in the Service itself, the underlying software, or any RealtyListPro trademark. You may not copy, modify, distribute, or create derivative works of any part of the Service without our prior written permission.

10. Third-Party Services
The Service integrates with third-party services including, without limitation, Stripe (payment processing), Postmark (email delivery), Google Places (address geocoding), AWS S3 (media storage), and Apple and Google's app stores. Your use of those services is subject to their own terms and privacy policies. We are not responsible for the practices or content of any third-party service.

11. Termination
11.1 By You
You may delete your account at any time by contacting support@realtylistpro.com. Account deletion is subject to the data retention rules described in our Privacy Policy, including the retention of payment and transaction records as required by tax law.
11.2 By RealtyListPro
We may suspend or terminate your account, in whole or in part, at our discretion:
If you violate these Terms;
If your account is used to facilitate fraud or unlawful activity;
If a payment fails or a chargeback is filed against your account;
If we are required to do so by law;
If we discontinue the Service in whole or in part.
We will use reasonable efforts to notify you of a suspension or termination, except where we are prohibited by law from doing so or where immediate action is necessary to prevent harm.
11.3 Effect of Termination
On termination, your right to use the Service ends. Any provision of these Terms that by its nature should survive termination — including without limitation Sections 5 (Payment), 6 (Media Ownership), 13 (Disclaimers), 14 (Limitation of Liability), 15 (Indemnification), 16 (Governing Law), and 17 (Dispute Resolution) — will survive.

12. Changes to the Service
We may modify, add features to, remove features from, or discontinue the Service or any part of it, at any time and without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service, except as otherwise expressly provided in these Terms.

13. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REALTYLISTPRO DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT MEDIA PRODUCED THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS OR ANY PARTICULAR STANDARD OF QUALITY, EXCEPT AS EXPRESSLY PROVIDED IN SECTION 4.4.
Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL REALTYLISTPRO, ITS OFFICERS, MEMBERS, EMPLOYEES, CONTRACTORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow certain limitations of liability, so the above may not apply to you in full. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

15. Indemnification
You agree to indemnify, defend, and hold harmless RealtyListPro, its members, officers, employees, contractors, and affiliates, from any claim, demand, loss, damage, liability, cost, or expense (including reasonable attorneys' fees) arising out of or related to:
Your use of the Service;
Your violation of these Terms;
Your violation of any applicable law;
Your violation of the rights of any third party (including without limitation claims that you lacked authority to authorize photography at a property you booked);
Any content or information you submit to or through the Service.

16. Governing Law and Venue
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. The federal and state courts located in Monroe County, New York, will have exclusive jurisdiction over any dispute arising out of or related to these Terms, except as provided in Section 17.

17. Dispute Resolution
17.1 Informal Resolution
Before filing any formal claim against RealtyListPro, you agree to first contact us at support@realtylistpro.com and describe the nature of the dispute and the relief you seek. We will attempt in good faith to resolve the dispute within 30 days of receiving your notice.
17.2 Small Claims
Either party may bring a qualifying claim in small claims court in lieu of arbitration if the claim falls within that court's jurisdiction.
17.3 Class Action Waiver
To the maximum extent permitted by law, you and RealtyListPro each agree to resolve disputes only on an individual basis and not as a plaintiff or class member in any purported class, collective, representative, or consolidated action.

18. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Effective" date at the top of this document. For material changes that affect your rights or obligations, we will provide at least 30 days' notice to existing users by email or through a notice in the Service before the changes take effect.
Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and may close your account.

19. Entire Agreement; Severability
These Terms, together with our Privacy Policy, constitute the entire agreement between you and RealtyListPro regarding the Service and supersede any prior agreements. If any provision of these Terms is held to be unenforceable, the remaining provisions will continue in full force and effect.
